These Terms of Service ("Terms") govern your access to and use of the website tilefin.com and the AI-powered modular SaaS Tiles offered by Tilefin IT Solutions (OPC) Private Limited ("Tilefin", "we", "us", or "our"), a company incorporated in Kerala, India. By accessing our website or using our Service, you agree to be bound by these Terms.

1. Overview of the Service

Tilefin provides a modular software-as-a-service platform consisting of individual "Tiles" (such as Billing, Inventory, Orders, Analytics, Payments, and Customer Management) connected and managed by "TileCore", our AI manager included with every subscription. Vendors may select one or more Tiles based on their business needs, and add or remove Tiles over time, subject to the terms of their subscription plan.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use our Service. By using the Service, you represent that you meet these requirements and that any information you provide is accurate and complete.

3. Accounts and Subscriptions

• Subscription plans (Starter, Growth, Scale/Custom) are described on our Pricing page. Prices may be displayed in multiple currencies for convenience; the amount charged will be processed in the currency and method agreed upon at checkout or invoicing.
• You are responsible for maintaining the confidentiality of any account credentials associated with your use of our Tiles.
• Tiles may be added or removed at any time in accordance with the modular pricing described on our website. Changes to your subscription will be reflected in your next billing cycle unless otherwise agreed.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
• Attempt to gain unauthorised access to our systems, other users' data, or any part of the Service not intended for public access.
• Interfere with, disrupt, or place an undue burden on our servers or networks, including via automated scraping, bots, or denial-of-service attacks.
• Reverse-engineer, decompile, or attempt to extract the source code of any Tile or the TileCore AI system, except as permitted by law.
• Use the Service to transmit spam, malware, or any content that infringes the intellectual property or privacy rights of others.

5. Intellectual Property

All content on tilefin.com, including the Tilefin name, logo, Tile designs, TileCore branding, graphics, text, and software, is the property of Tilefin IT Solutions (OPC) Private Limited or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

6. Pricing, Currency, and Payments

Pricing for Tiles and plans is displayed in Indian Rupees (₹) by default, with approximate conversions shown in other currencies for your convenience based on live exchange rates. Displayed amounts in non-INR currencies are estimates and may vary slightly from the amount actually billed. All fees are exclusive of applicable taxes (such as GST) unless stated otherwise.

7. Cancellation and Refunds

You may cancel or modify your Tile subscription at any time by contacting info@tilefin.com. Refund eligibility, if any, will be determined on a case-by-case basis and communicated at the time of subscription or upon request.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. While we strive for high availability and accuracy — including AI-driven recommendations, forecasts, and automation provided through TileCore — we do not warrant that the Service will be uninterrupted, error-free, or that any AI-generated insights (such as sales forecasts or reorder suggestions) will be accurate or suitable for every business decision. You remain responsible for your own business decisions.

9. Limitation of Liability

To the maximum extent permitted by law, Tilefin IT Solutions (OPC) Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of, or inability to use, the Service.

10. Indemnification

You agree to indemnify and hold harmless Tilefin IT Solutions (OPC) Private Limited, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from your violation of these Terms or misuse of the Service.

11. Termination

We reserve the right to suspend or terminate access to the Service for any user who violates these Terms, engages in fraudulent activity, or for non-payment of applicable fees, with or without notice where permitted by law.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Kerala, India.
